The Senior Counsel – Corporate will primarily provide legal advice and services to the Emerging Energy and Business Development organizations at Phillips 66. This position is in the Corporate Legal Services section of the Phillips 66 Legal Department and will report to the Deputy General Counsel, Corporate.
Responsibilities May Include
Providing legal advice and services for business development opportunities including drafting confidentiality agreements and letters of intent, collaborating with tax and accounting on structuring, supporting negotiation, and preparing deal documentation for a variety of complex transactions, including joint venture formation, equity investments, and asset acquisitions with an emphasis on opportunities in the emerging (renewable) energy space.
Collaborating and coordinating on transactions with the Chief IP Counsel regarding technology, IP, trade secrets, and other proprietary information that is connected to business development activities.
Providing legal support on corporate governance; securities regulation and transactions; and public company disclosure and compliance matters relevant to a NYSE listed company with oversight from Senior Counsel, SEC.
Providing support and guidance on entity formation and management to ensure effective governance and corporate functioning of subsidiaries and joint ventures.
Managing outside counsel and other service providers as needed.
Legally authorized to work in the job posting country
J.D., L.L.B. or equivalent law degree from a law school accredited by the American Bar Association
Licensed by state law and in good standing to practice in Texas, Oklahoma, or a state that grants reciprocity
6 or more years of experience as a licensed attorney
Experience and thorough working knowledge of joint ventures, equity investments, and asset transactions
Experience and thorough working knowledge of corporate subsidiary management and joint venture governance
3 or more years of corporate M&A or joint venture formation experience in the energy industry, at a large, full-service, recognized law firm
Ability to manage and prioritize assignments which may be broad in scope and complexity, and which involve collaborative work with employees in different departments and/or with varying levels of seniority
Ability to work well under pressure, meet deadlines and function independently without extensive supervision
Prior experience with SEC regulations and stock exchange requirements (preferably NYSE)
Excellent written and oral communication skills including the ability to effectively communicate with internal business clients, support staff, and external resources such as outside counsel and other collaborators
Strong individual initiative, discipline and commitment to superior performance and continuous improvement
Superior negotiation, advocacy and presentation skills
Mature judgment and discretion
